Welcome to guts.agency (the "Website"), operated by Guts Agency Ltd. ("Guts", "we", "us"). By accessing or using the Website you agree to these Terms of Use. If you don't agree, please don't use the Website. Our Privacy Policy and Cookie settings also apply.

1. Intellectual property

The Website and everything on it, including the design, layout, source code, text, illustrations, graphics, animations, videos, photos, logos, case studies, brand identities, identity systems, UX/UI designs, presentations and all other materials (the "Content"), are owned by Guts or our licensors and are protected by copyright, trademark, design and other intellectual property laws in Israel and worldwide.

Client work. The Website showcases work we created for our clients. Client names, logos, brands, products and the materials created for them remain the property of the relevant client (or its licensors). Their appearance here is for portfolio purposes only and does not mean they sponsor or endorse this Website or any third party.

What you may do. You may view the Website and print or share individual pages or links for personal, non-commercial use, as long as you keep all copyright and ownership notices and give credit to Guts.

What you may not do. Without our prior written permission, you may not copy, reproduce, download, republish, modify, translate, distribute, display publicly, sell, license or create derivative works from the Content or any part of it, including using it in your own portfolio, pitch, product, AI-generated outputs, or in work for a third party.

No licence is granted to you in the Content except the limited right above. All rights not expressly granted are reserved.

2. Acceptable use, scraping and copying the site

You agree not to:

• copy, clone, mirror or "frame" the Website, or reproduce its design, layout, code, interactions or animations (whole or in part), including by exporting or re-publishing it through website builders or code-extraction tools;
• use bots, crawlers, scrapers or any automated means to access, collect or index the Website or its Content, except for standard search-engine indexing that respects our robots.txt;
• use the Content, or any part of the Website, to train, fine-tune, test or improve any AI/machine-learning model, or for text and data mining, without our written permission;
• attempt to gain unauthorised access to the Website, our servers, systems, accounts or networks, or probe, scan or test their vulnerabilities;
• disrupt or overload the Website (including DoS attacks), or introduce viruses, malicious code or anything harmful;
• bypass or disable security, spam-protection, cookie or access-control features;
• use the Website to send spam or unlawful, misleading, or infringing material, or to impersonate Guts or any person;
• use the Website in any way that violates applicable law or the rights of others.

We may block access, remove content, and take any legal action available to us (including seeking injunctions and damages) against breaches of these Terms or of our rights.

3. Information on the Website

The Website, including the Brains blog, is provided for general information. It is not professional, legal, financial or business advice, and you should not rely on it as such. We try to keep it accurate and up to date but make no promise that it is complete or error-free. Nothing on the Website is an offer or creates a client relationship. Any engagement with Guts is only through a signed proposal or agreement.

4. Availability and disclaimer

The Website is provided "as is" and "as available". We don't guarantee uninterrupted, secure or error-free operation, and we may change, suspend or discontinue any part of it at any time.

5. Limitation of liability

To the fullest extent permitted by law, Guts and its owners, employees and contractors are not liable for any direct or indirect damage, loss of profit or data, or other loss arising from your use of (or inability to use) the Website or from reliance on its Content. Nothing in these Terms excludes liability that cannot be excluded by law.

6. Third-party links and content

The Website may link to or embed third-party websites, services or content (e.g. social networks, Vimeo). We don't control them and are not responsible for their content or practices. Using them is at your own risk and under their own terms.

7. Submissions

If you send us ideas, feedback or materials through the Website (e.g. the contact form), you confirm you have the right to do so. Please don't send us confidential or proprietary material or ideas you aren't prepared to share through the form; unless we agree otherwise in writing, we have no obligation of confidentiality for unsolicited submissions.

8. Copyright and takedown

If you believe content on the Website infringes your rights, email hi@guts.agency with details of the work, the location on the Website, and your contact details, and we will review it promptly.

9. Changes

We may update these Terms from time to time. The updated version applies from the "last updated" date. Continued use of the Website means you accept the changes.

10. Governing law and jurisdiction

These Terms are governed by the laws of the State of Israel. The competent courts of Tel Aviv-Jaffa have exclusive jurisdiction over any dispute arising from them, without regard to conflict-of-law rules.
